The legal status of CEOs in the corporate governance of Czech and foreign joint stock companies

The Legal Status of CEOs in the Corporate Governance of Czech and Foreign Joint Stock Companies Abstract CEOs play a crucial role in corporate governance, and understanding their legal status is fundamental to board organisation practices. This thesis aims to map the question of the legal status of CEOs, with a focus on regulatory approaches to CEOs and chairpersons of the board in different regions. The research established two main approaches to regulating CEO's legal status. On the one hand, the approach of Anglo-American countries is presented in this thesis by two main representatives - the UK and the USA. The common board organisational model is a unitary board model for which it is typical to combine management and supervisory powers in the board of directors. This is also reflected in the legal status of the CEO, as one of the main issues addressed is the CEO and chairperson duality and its consequences on corporate governance. On the other hand, the different approach taken by the countries in Continental Europe is analysed. Germany and Austria are introduced as countries known for a compulsory two-tier board model. Změny v distribuci příjmů v USA a dekompozice Giniho koeficientu

Roček, T. Changes in income distribution in the USA and decomposition of Gini coefficient. Diploma thesis. Brno: Mendel University, 2016. Since the 80s of the last century, the United States has seen a considerable income inequality growth. This diploma thesis analyses the influence of individual income sources on determination of inequality, esteems their significance and formulates instruments that the government can use to affect these sources. This diploma thesis contains decomposition of Gini coefficient. This decomposition revealed, that the source, which is the most important determinant of the total income ine-quality are salaries and wages. Sales of assets contributed the most to the rise of inequality in the analysed period from 2000 to 2014. This income source also has the highest potential for further growth of income inequality. Discussion part, which follows, contains the debate about the main causes of this progression and the relevance of researching the income inequality issue. Based on the approach used in this diploma thesis, it is possible to decompose the Gini coefficient in any state or region, and to explore the inequality determinants in this way. This thesis also offers a comprehensive view on the whole issue.
Elections of directors of public service media from perspectiveof selected newspapers and news websites

The Masterˈs thesis deals with an answer of public service media and a way of their representation in selected newspapers and news websites. Due to the importance of public service media as a guarantee of the balanced and neutral news and because of their specifics to commercial media, this thesis focuses on the way the other media write about them, on the example of the last elections of directors of public service media. The first part explains the specifics of public service media, their progression, the actual position and problems. Further it concerns concrete, czech public service media and there searched phenomenon, i. e. the election of director of public service media too. The second part is my own research. I researched the way of representation of the election of director of Czech Radio in the year 2016 and the elections of directors of Czech Television and Czech News Agency in the year 2017 in the journals Hospodářské noviny, Mladá fronta DNES and Právo and on the news websites IHNED.cz, iDNES.cz and Novinky.cz. The method of research was qualitative content analysis due to keep an open access to the found informations. Organization of a European Company with a Monistic Type of Management

The diploma thesis deals with a one-tier (monistic) board structure of a European company (Societas Europaea) which has its registered seat in the Czech Republic. The governance of a European company is largely dependent on the national legislation, which has been in the Czech Republic significantly amended by a substantial recodification of private law. The thesis focuses on some of the interpretative difficulties that the new legislation has brought to the regulation of the monistic European Company, and presents some possible solutions thereto.
